Rhesis AI — SaaS Terms and Conditions (Research Beta Phase)
IMPORTANT NOTICE — Research Beta Phase
These Terms and Conditions govern your use of the Research Beta Phase of the Rhesis AI cloud platform (“Platform” or “Service”). During this phase, the Service is experimental, incomplete, and under active development. It is provided free of charge as part of a BMBF-funded research project. No SLAs, performance guarantees, uptime commitments, or commercial warranties apply. Functionality and access may change or be discontinued at any time. Data may be modified, reset, or deleted. These Terms will be replaced when a commercial offering becomes available. By participating, you acknowledge that the Platform is not a commercial product and may behave unpredictably.
Rhesis AI GmbH, August-Bebel-Str. 89, 14482 Potsdam, Germany (“Rhesis AI”, “we”, “us”, “our”) provides access to the Platform subject to these Terms.
1. About This Research Program
1.1 Research Context
This Platform is provided as part of a research and development project funded by the German Federal Ministry of Education and Research (BMBF) under the StartUpSecure initiative. The objective is to validate our technology, gather feedback, and improve our collaborative Gen AI testing platform.
1.2 Experimental Nature
The Platform is in a research and development stage. Features are experimental, incomplete, and may change rapidly. The Platform may contain defects or instabilities. Functionality may be limited, suspended, or removed without notice. Access may be revoked at any time. No guarantees regarding accuracy, reliability, or results are provided.
1.3 Free Access
Access is provided free of charge during the Research Beta Phase. No payment information is required.
2. Eligibility and Accounts
2.1 Business-Only Use
The Program is intended exclusively for business users (“Unternehmer” under §14 BGB), such as companies, organizations, freelancers, consultants, research institutions, and individual developers acting professionally. Consumers (“Verbraucher” under §13 BGB) are not permitted to use the Platform.
2.2 Account Requirements
To participate, you must provide accurate registration information, be at least 18 years old, have legal authority to enter agreements, and comply with these Terms.
2.3 Account Security
You are responsible for maintaining the confidentiality of your credentials, all activity under your account, and promptly notifying us of any unauthorized use.
3. Permitted Use
3.1 License Grant
Rhesis AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for testing, evaluation, internal research, and providing feedback.
3.2 Use Restrictions
You may not engage in illegal or unauthorized use, access systems without permission, disrupt the Platform, resell or sublicense access, circumvent security measures, introduce malicious code, or test third-party systems without explicit authorization.
3.3 Test Case Responsibility
You are solely responsible for selecting, generating, deploying, and managing test cases and for ensuring proper authorization for testing activities. Rhesis AI does not monitor or control how you deploy test cases.
3.4 No Production Use
You may not use the Platform in production environments, for real customer interactions, for safety-critical or financial decisions, in environments requiring certified outputs, or in automated workflows where errors may cause harm. All outputs are experimental.
3.5 No Legal, Compliance, or Safety Guarantees
The Platform does not provide legal advice, regulatory compliance determinations, certified risk assessments, or formal safety guarantees. Outputs are for informational and research purposes only.
4. No Warranties
4.1 “AS IS” Provision
The Platform is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, including merchantability, fitness for a particular purpose, accuracy, reliability, uptime, or error-free operation.
4.2 Research Phase Limitations
The Platform may be unavailable at any time. Features may break or be removed. Data may be deleted or reset. Bugs and instability should be expected.
5. Data and Feedback
5.1 Your Content
You retain ownership of all data, test cases, prompts, and materials you create or upload (“Your Content”). You grant Rhesis AI a limited license to store and process Your Content for operating the Platform and to use anonymized and aggregated data for research and improvement.
5.2 Data Deletion and Retention
Your Content may be deleted or reset at any time. Rhesis AI has no obligation to retain any data. You are solely responsible for backing up Your Content.
5.3 Research Data Collection
By participating, you consent to the collection and analysis of usage data for research and improvement. Participation in surveys or interviews is optional. All data handling complies with GDPR and our Privacy Policy.
5.4 Feedback
Feedback or suggestions you provide become the property of Rhesis AI. Feedback does not include Your Content. Rhesis AI may use feedback without restriction or compensation.
6. Intellectual Property
6.1 Platform Ownership
Rhesis AI retains all intellectual property rights in the Platform. No ownership is transferred to you.
6.2 Open Source Components
The Platform includes open source components licensed under MIT and other licenses. Notices are available at https://github.com/rhesis-ai/rhesis.
6.3 Test Cases
Test cases generated by you belong to you, but the underlying algorithms and technologies remain the IP of Rhesis AI.
7. Limitation of Liability
7.1 Maximum Exclusions
To the maximum extent permitted by law, Rhesis AI is not liable for indirect, incidental, or consequential damages; loss of profits, revenue, or data; business interruption; damages arising from test case deployment; or reliance on experimental results. This applies regardless of legal theory and even if advised of the possibility of damages.
7.2 Liability Cap
Where liability cannot be excluded, Rhesis AI’s total aggregated liability shall not exceed EUR 100, even if multiple claims arise.
7.3 Exceptions
Liability is not excluded for death or personal injury caused by negligence, fraud, or mandatory liability under German law (e.g., the German Product Liability Act).
8. Confidentiality
8.1 Confidential Information
Both parties agree to protect non-public information unless it becomes public through no fault of the receiving party, is independently developed, or disclosure is required by law.
8.2 Research Publications
Rhesis AI may publish anonymized, aggregated research findings. Proprietary or personal data will not be disclosed.
9. Term and Termination
9.1 Duration
These Terms apply from account creation until termination.
9.2 Your Right to Terminate
You may terminate at any time by closing your account or contacting support@rhesis.ai.
9.3 Termination by Rhesis AI
We may suspend or terminate access for violations, abuse, security concerns, or at our discretion. The entire Research Program may be ended at any time.
9.4 Effects of Termination
Upon termination, your access ends immediately. You should export Your Content beforehand. Provisions related to IP, liability, confidentiality, and warranties survive termination.
10. Transition to the Future Commercial and Open Source Offering
10.1 Commercial Launch
After the completion of the Research Beta Phase, Rhesis AI plans to make the Platform commercially available. Before launching the commercial service, Rhesis AI will provide at least 30 days’ prior notice, including details on available plans, pricing, and service features.
10.2 Commercial Open Source Software (COSS) Model
Rhesis AI intends to adopt a Commercial Open Source Software (COSS) model. Under this model, a core version of the Platform will be made available under the MIT License, while additional enterprise features, managed hosting, commercial support, enhanced security modules, and compliance-focused capabilities may be offered under paid commercial subscriptions.
10.3 Open Source Self-Hosted Version
Users may choose to deploy and operate the MIT-licensed open source version within their own infrastructure. The open source version may not include enterprise, hosted, or premium features, which are reserved for commercial plans.
10.4 Hosted Enterprise Version
Rhesis AI may offer a fully managed, cloud-hosted enterprise version of the Platform, including advanced functionality, integrations, role-based access, expanded test libraries, automated quality gates, commercial support, and features intended for production-grade deployments.
10.5 User Options
When the commercial offering becomes available, you may subscribe to a paid commercial plan, continue using the open source self-hosted version, migrate or export your data where technically feasible, or discontinue use.
10.6 No Obligation
Your participation in the Research Beta Phase does not obligate you to subscribe to any commercial offering. Access to the beta version does not guarantee continued access once the commercial phase begins.
11. BMBF Funding Acknowledgment
11.1 Required Notice
“Das diesem Angebot zugrundeliegende Vorhaben wird mit Mitteln des Bundesministeriums für Bildung und Forschung gefördert. Die Verantwortung für den Inhalt dieser Veröffentlichung liegt bei Rhesis AI GmbH.”
11.2 Research Purpose
Your participation supports research on collaborative Gen AI testing, safety, and quality assurance.
12. General Provisions
12.1 Changes to Terms
We may update these Terms. Material changes will be communicated via email, in-platform notice, or on our website. Continued use constitutes acceptance.
12.2 Entire Agreement
These Terms, the Privacy Policy, and the Data Processing Agreement form the entire agreement.
12.3 Severability
Invalid provisions will be replaced with enforceable ones reflecting the original intent.
12.4 No Waiver
Failure to enforce any right does not constitute a waiver.
12.5 Assignment
You may not assign these Terms. Rhesis AI may assign them at its discretion.
12.6 Governing Law
These Terms are governed by German law (excluding CISG). Jurisdiction is Potsdam, Germany.
12.7 Language
The English version prevails over translations.
